TERMINOS Y CONDICIONES

By signing the invoice the Client acknowledges agreement with the Terms and Conditions established by ThruAds.com Corporation for website development and related services.

Deposit required at time of signing:

A seventy percent (70%) deposit is required at the time of signing, because as soon as the invoice is signed ThruAds begins work for the Client. (For Small Business Solutions, the applicable deposit is one hundred percent (100%) due to the very special nature of this pre-configured service.)

Acknowledgement of Terms and Conditions:

By signing the invoice the Client acknowledges agreement with the Terms and Conditions established by ThruAds.com Corporation for website development and related services.

Cancellation and Refund Policy:

In order to receive a full, one hundred percent (100%), refund for a cancelled project, the Client needs to notify ThruAds by email (notwithstanding verbal communication) within five (5) calendar days of signing the invoice (and thus receipt of the initial payment by ThruAds) of its desire to cancel. In this way only the initial work of writing up the job ticket for the programmers would have been incurred by ThruAds. The Client can cancel at any other future date, but thereafter Client will be charge for labor performed on its website, i.e., design, development and implementation time.

Plagiarism, Copyright / Trademark Infringement:

ThruAds is not responsible for any material submitted by the Client without the required permission. The Client needs to own the content it provides to ThruAds. ThruAds reserves the right to remove the Client’s website from ThruAds’s hosting. The Client must hold the rights for the materials provided and the Client assumes full responsibility against any legal issues or claims arising on account of the materials used. ThruAds assumes no responsibility for the content and/or ownership of the information and materials provided by the Client.

Special pricing:

“Special prices” (when offered in any of the services) are offered at the sole discretion of ThruAds. When special prices are offered, the Client must pay one hundred percent (100%) in advance.

Deliverables of website content by the Client:

The Client agrees to provide ThruAds all the information required to complete the work. This includes, but is not limited to, text, copy, images and data. The Client may either select material or request ThruAds to select the material ThruAds deems best to develop the website. It is the Client’s responsibility to clearly identify in writing the material it will provide and when it will be provided, or release ThruAds in writing to gather all of the remaining material. ThruAds accepts no responsibility for unfinished projects due to missing information.

All new changes are considered alterations:

During the development process the Client may decide to drop or add features or content from its website. All changes are considered alterations, incurring a previously determined labor charge. ThruAds offers website designs which are pre-configured and then personalized for the Client’s business. Therefore, it is not possible to provide additional services or alterations without charging additional fees for services.

All work is done inside ThruAds internal subdomains and domain:

The entire process of developing websites is performed inside ThruAds domain: www.ThruAds.com. Once the Client’s website is completed, tested and approved by the Client, it is uploaded by ThruAds to the Client’s own domain.

E-commerce and other additional services provided to Clients:

Web Security Certificates, Dedicated IP, Additional security, etc are not a standard feature in all websites—they are additional services for a fee. Given that e-commerce services vary greatly, a specific fee will be quoted depending on the Client’s specifications.

Website Design Guidelines:

The Home page is designed first. After obtaining approval by email from the Client, then Interior pages are designed, in approximately five (5) to ten (10) days, the Client receiving updates regarding the percentage of the job completed and a description of the tasks done and a status check to determine if the project is on-track, or ahead or behind schedule.

The Client may either select material or request ThruAds to select the material ThruAds deems best to develop the website. Ten-day term for Client to deliver content to ThruAds:

All content must be received within ten (10) days after the invoice is signed. Otherwise, the project will be finished with the information provided. The project will be considered completed, the Client’s payment will not be reimbursed, and the Client’s final payment will be due.

Extra charge for text and/or images provided by ThruAds

If the client wants ThruAds to write copy for a website or to search for images, an extra charge will apply. The cost of writing text or providing images is determined by ThruAds at the time of quoting the cost to the Client. The Client retains the option to provide its own copy for its website at no additional charge.

Quotation and approvals for a Client’s website:

After receiving from the Client information regarding the scope and objectives of the Client’s proposed new website, ThruAds supplies the Client with a ballpark quote for services based on the Client’s description. This quote can be plus (+) or minus (-) ten percent (10%) of the definitive price at signing. The Client’s first approval indicates the Client’s acceptance of the web design guidelines. The Client’s second approval is the acceptance of the design and structure proposed for each of the pages in the website.

ThruAds website projects are “time sensitive”:

Any price provided to a Client is applicable for only fifteen (15) days from the day of the quote.

Job ticket assigned:

Once the Client accepts the initial plan for its website, ThruAds writes up the complete technical requirements for the job in a second consultation with the Client, and from this document ThruAds’s programmers begin to work.

Front-end / Back-end Integration:Backend administration will integrate the content and will test the website for one (1) week for error detection and correction utilizing an internal subdomain at ThruAds.

Test-run data entry:Data entry from the Client’s content is carried out for error detection and correction. ThruAds will not include all of the Client’s content (products and/or services). To guarantee a correct visualization of the website, only sample content will be entered, generally only one or two categories. Preferably, ThruAds should have received content regarding real products and/or services offered by the Client. Lacking this information, ThruAds will enter fictitious content for this test.

Final Approval of the Client’s website:Once a website is completed, the Client will be informed by email. The Client has seven (7) business days to revise and/or ask for changes. If ThruAds is not informed of any changes, or does not hear from the Client after this period of time, the website is considered completed and approved by the Client.

Final Approval of the Client’s website:

Once a website is completed, the Client will be informed by email. The Client has seven (7) business days to revise and/or ask for changes. If ThruAds is not informed of any changes, or does not hear from the Client after this period of time, the website is considered completed and approved by the Client.

Exit procedure (Small Business Solutions):

In the event that the client wishes to leave the ThruAds hosting service, its website will have to be disconnected, and the Client will incur labor charges. ThruAds charges an exit fee of between $300 and $1,000 to dismantle and remove the Client’s website from ThruAds’s Content Management System (CMS) platform.

Hosting services:

ThruAds is affiliated with all major hosting services. Hosting services experience downtime due to scheduled maintenance and interruptions in service due to Acts of God or force majeure. ThruAds is not responsible for these lapses in service outside of ThruAds’s control. On average ThruAds charges from $40 to “Not Defined (Unlimited)” per year for hosting services. The Client must pay any hosting fee thirty (30) days prior to the end of the year’s hosting in order to avoid discontinuation of the Client’s hosting.

Free backup for a year:

Hosting service includes a free year of backup. But backing up previous or other websites incurs an additional fee.

Email services provided within the Client’s website:

If the Client wants email capability for its website, an additional payment of $40 to “Not Defined (Unlimited)” per year is assessed depending on server storage space. ThruAds would then be maintaining the Client’s email.

Exit procedure:

In the event that the client wishes to leave the ThruAds hosting service, ThruAds charges a website transfer fee of $250 to the client’s chosen host; Not applicable to “Small Business Solutions” websites.

Marketing Campaigns:

ThruAds charges a fee for the initial study and set-up. This will be determined by ThruAds if the Client decides to use ThruAds for marketing purposes in connection with its website. This price is not included in the cost of the webpage development. ThruAds only charges the Client for its own service. Payment by the Client to Google or Facebook or other platforms is the Client’s direct responsibility.

Search Engine Optimization (SEO):

Details of the service to be provided will appear on the first proposal and on the subsequent invoice.

Website Updates and Site Maintenance:

If the Client would like to introduce new material into a website previously created by ThruAds– i.e.; extra pages, additional functions, or more information than is already available on the website—this work must be paid for as a new job. It may be paid by deducting funds from unused hours from a prepaid package.

Maintenance Fees:

If the Client would like ThruAds to maintain their website, then Client will incur a maintenance fee determined by ThruAds. ThruAds maintenance fees are noncumulative, and therefore are void after thirty (30) days.
